Completion of the Voluntary Offer from Rheinmetall AG

Reference is made to the stock exchange announcement 
of 6 May 2010 where Rheinmetall AG ("Rheinmetall") 
announced a voluntary offer subject to certain terms 
and conditions (the "Offer") for all the shares in 
Simrad Optronics ASA ("SIT") and the offer document 
dated 11 May 2010, which contains detailed terms and 
conditions for the Offer.

Rheinmetall is pleased to announce that the Offer has 
been completed today, and Rheinmetall has acquired 
53,906,223 shares in SIT, which equals 75.30 per cent 
of the issued shares and votes in SIT. Following 
completion of the Offer, Rheinmetall holds 66,602,159 
shares in SIT, representing 93.04% of the shares and 
votes in SIT. Please note that the number of 
acceptances under the Offer and the shares controlled 
by Rheinmetall represent a correction in relation to 
what has been announced previously.

In relation to the remaining shares in SIT, 
Rheinmetall intends to proceed with a compulsory 
acquisition as stipulated by the Norwegian Securities 
Trading Act and the Norwegian Public Limited 
Liability Companies Act.
